These terms are an agreement between you and Nido Technologies LLC ("NidoLoop", "we", "us") covering your use of the NidoLoop app. By creating an account or using the app, you agree to them. If you don't agree, please don't use NidoLoop.
We've written these in plain language on purpose. Sections 5 through 8 are the ones we'd most like you to actually read.
NidoLoop is a shared record of a child's day (feeds, sleep, diapers, food, health notes, routines and plans) together with messaging and translation between the adults caring for that child.
It exists so a parent and a caregiver who don't share a language can still communicate clearly about a baby.
You must be 18 or older to create an account. NidoLoop is for adults; children do not have accounts.
You are responsible for what happens under your account, and for keeping your sign-in details to yourself.
A parent creates a family and receives an invite code. Anyone who enters that code joins the family and can read and write the family's records, including the child's health entries and the whole chat history.
Treat the invite code as a password. Sharing it shares access to your child's records. If you remove a member, the code changes automatically, so any copy they still have stops working.
Parents can invite members, remove members, and delete children and the family itself. Caregivers cannot delete the family's records. This is enforced by our servers, not just hidden in the app.

This is the most important section here.
NidoLoop lets you record temperature, medications and doses, vaccinations, and illness episodes, and it can generate a written summary of them to show a doctor.
All of that is record-keeping, not medicine. NidoLoop:
The same goes for the app's predictions. When NidoLoop says the next feed is "around 3:40", that is arithmetic on past feeds, not advice about when a child should eat.
If you are worried about a child's health, contact a doctor or emergency services. Do not rely on this app.
Messages, notes and summaries in NidoLoop are translated automatically by an AI model. That is the point of the product, and it is also a limitation: automated translation can be wrong, and a mistranslation about a child can matter.
Anything safety-critical (allergies, medication, dosage, medical instructions, emergencies) should be confirmed directly between the adults involved, and not left to the app. We provide translation on a best-efforts basis and cannot guarantee its accuracy.
NidoLoop records when a caregiver starts and ends a shift, and keeps a history of hours worked. That looks like a timekeeping system, so we want to be completely clear about what it is not.
Families and caregivers are each responsible for complying with the employment, tax and wage laws that apply to them.
NidoLoop performs no identity verification and no background checks.
Any qualifications shown in the app (CPR, first aid, early childhood education, licences) are typed in by the caregiver herself. We do not see any certificate, and we do not check any of it.
Nothing in NidoLoop should be treated as a vetting, endorsement, or recommendation of any person. If you are choosing someone to care for your child, do your own checks. That decision is yours alone, and it is not one this app is qualified to inform.
Photos, messages, notes and records you put into NidoLoop remain yours. We claim no ownership.
You grant us only the permission we need to actually run the service: to store, back up, sync, translate and display your content to the members of your family, and to process it through the providers listed in our Privacy Policy. That's the whole licence. We will not use your family's photos for marketing, and we will not license your content to anyone else.
You are responsible for having the right to upload what you upload.
NidoLoop works offline. Entries save on your device and sync when a network is available. That has one consequence you need to know:
Someone else may not see what you entered immediately.
Therefore: do not use NidoLoop to communicate an emergency. A message may be delayed by a bad connection, a dead battery, or a phone in a pocket. If something is urgent, call. A banner in an app is not a phone call.
We aim to keep NidoLoop available and working, but we don't guarantee it will be uninterrupted or error-free, and we may change or discontinue features.
Whatever plan a family is on, and whatever we charge for in the future, temperature, medications, vaccinations and illness records stay fully visible to that family at all times. We will not put a child's health history behind a payment.
NidoLoop is free to use today. The following applies when we introduce a paid subscription ("NidoLoop Premium"), which we will announce in the app before it takes effect.
Billing. Premium will be sold as an auto-renewing subscription through the App Store or Google Play, at the price shown at purchase. Payment is charged to your store account at confirmation. The subscription renews automatically for the same period unless you cancel at least 24 hours before the current period ends, and your account is charged for the renewal within 24 hours of the period ending.
Free trial. Any free trial converts into a paid subscription automatically at the end of the trial unless you cancel before it ends. If you buy a subscription during a trial, the unused part of that trial is forfeited.
Cancelling. You cancel in your App Store or Google Play account settings: we cannot cancel it for you. Cancelling stops future renewals; it does not end the period you have already paid for.
Refunds are handled by the store, under Apple's or Google's policies. We are not the merchant and cannot issue refunds directly, though you're welcome to write to us and we'll help where we can.
Restore Purchases. If you reinstall the app or sign in on a new phone, use the Restore Purchases control to bring your subscription back.
Premium belongs to the family, not the buyer. When one member subscribes, every member of that family gets the paid features, including the caregiver, who owes nothing and is not a party to the purchase. If the subscription is cancelled or lapses, the paid features end for everyone in the family.
Price changes. We may change our prices. Existing subscribers keep their price until we tell them otherwise, and any increase to an existing subscription requires your agreement through the app store before it applies.
Founding-family pricing. Families who subscribe during our founding-family period, on or before the date we announce, pay a reduced annual price, and we will not raise the price of that subscription for as long as it stays active. One caveat, stated plainly because it catches people out: the founding price attaches to a continuous subscription, not to a person. If you cancel and let it lapse, resubscribing later means resubscribing at the current price.
What a subscription does and does not affect. Premium controls what you can see in the app, never whether your data continues to exist:

We may suspend or terminate an account that breaches these terms, or where we are required to by law.
NidoLoop runs on services provided by others (including Supabase, Anthropic, Expo, Apple and Google) and, once subscriptions launch, RevenueCat. What each of them receives is set out in our Privacy Policy. We are not responsible for their availability, and an outage at one of them may make part or all of NidoLoop unavailable.
To the fullest extent permitted by law, NidoLoop is provided "as is" and "as available", without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement.
We do not warrant that the service will be uninterrupted, that translations or summaries will be accurate, that data will sync within any particular time, or that the app is suitable for any medical, employment, or legal purpose.
Some jurisdictions do not allow certain disclaimers, so parts of this section may not apply to you. Nothing here limits any right you have that cannot legally be limited.
To the fullest extent permitted by law, neither Nido Technologies LLC nor anyone working with us will be liable for any indirect, incidental, special, consequential or punitive damages, or for lost data, lost profits, or loss of goodwill, arising from your use of NidoLoop.
Our total liability for any claim relating to NidoLoop is limited to the greater of the amount you paid us in the twelve months before the claim or fifty US dollars ($50).
This limitation does not apply to liability that cannot be excluded by law, including for death or personal injury caused by negligence, or for fraud.
You agree to indemnify Nido Technologies LLC against claims, losses and reasonable legal costs arising from your misuse of NidoLoop, your breach of these terms, or content you upload that you did not have the right to upload.
These terms are governed by the laws of the Commonwealth of Massachusetts, without regard to its conflict-of-laws rules. Any dispute will be brought in the state or federal courts located in the Commonwealth of Massachusetts, and you and we consent to their jurisdiction.
If you are a consumer resident in the EU, the UK, or another jurisdiction whose law gives you the right to bring proceedings locally or to rely on your own consumer protection law, this section does not take that right away.
We may update these terms. If a change is significant, we will tell you in the app before it takes effect and update the date at the top. Continuing to use NidoLoop after that means you accept the updated terms; if you don't, you can delete your account.
